Terms of Service

These Terms of Service (the "Terms") are an agreement between you and KR Gray Designs LLC ("CompDesk," "we," "us"), which operates the CompDesk website and deal-analysis tools (the "Service").

1. Agreement to these Terms

By creating an account, starting a trial, subscribing or otherwise using the Service, you agree to these Terms. If you use the Service for a company, you agree for that company and confirm you have authority to bind it. You must be at least 18 years old. The Service is intended for real estate investors, agents, builders and other business users.

2. The Service

CompDesk provides tools to analyze residential real estate deals, including property lookups, comparable sales, after-repair value (ARV) and as-is estimates, repair and construction budgets, offer and return calculators, deal reports, and optional AI-drafted reviews and budgets. Features vary by plan and may change over time.

3. Estimates only, not professional advice

Everything the Service produces, including values, comps, budgets, offer prices, AI drafts and reports, is an estimate for your own analysis. It is not an appraisal, broker price opinion, inspection, survey, construction bid, or legal, tax, lending or investment advice. CompDesk is not a licensed appraiser, real estate broker, contractor, lender or financial advisor.

You are solely responsible for your decisions. Before buying, selling, lending on or renovating any property, verify the information independently with qualified professionals, such as a licensed appraiser or agent, a home inspector and your contractors.

4. Accounts and team seats

You are responsible for activity on your account and for keeping your sign-in links and devices secure. Tell us promptly at info@krgraydesigns.com if you believe your account has been used without permission.

An account is for one person unless your plan includes team seats. Account owners on plans with seats may invite teammates, who share the plan's allowances. The owner is responsible for teammates' use and may remove them at any time. Sharing a sign-in to get around seat limits is not allowed.

5. Subscriptions, billing and taxes

Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. Subscriptions renew automatically at the then-current price until you cancel. You authorize us and Stripe to charge your payment method for each renewal, plan change and add-on purchase.

• Plan changes: upgrades take effect right away, and the price difference is prorated for the rest of the billing period. Downgrades take effect at the next renewal.
• Price changes: we will give at least 30 days' notice of a price increase before it applies to your next renewal.
• Failed payments: if a charge fails, we may retry it and may suspend paid features until payment succeeds.
• Taxes: prices do not include taxes. You are responsible for any applicable sales or use taxes, which we may collect where required.

6. Free trials, cancellation and refunds

Free trials. New subscribers may receive a free trial (currently 14 days) with reduced allowances. A payment method is required. Unless you cancel before the trial ends, your subscription starts and you will be charged automatically. One trial per person or business.

Cancellation. You can cancel anytime from the Account menu ("Manage billing"). Cancellation takes effect at the end of the current billing period, and you keep access until then.

Refunds. If you are not satisfied, you may request a full refund within 7 days after the first paid charge of a new subscription, or within 7 days after an annual renewal charge, by emailing info@krgraydesigns.com. When we issue the refund, the subscription ends. Unused add-on packs may be refunded within 7 days of purchase. Otherwise, except where required by law, payments are non-refundable, including monthly renewals, partial billing periods, unused allowances and add-on packs that have been used.

7. Plan allowances and fair use

Each plan includes monthly allowances, such as property lookups, AI reviews and drafts, and budget drafts from floor plans. These are shown on the pricing page and in your Account menu. Allowances reset each billing period and do not roll over. Add-on packs add extra uses while your subscription is active. Visitors without a subscription may get a limited free preview. We may set reasonable limits to protect the Service, including daily limits on photos and requests.

8. Third-party data and services

The Service relies on third parties, including RentCast (property data and value estimates), Google (Street View imagery), Anthropic (AI features), Stripe (payments) and Cloudflare (hosting). Third-party data may be incomplete, out of date or inaccurate. For example, listing data may show a last list price rather than a sale price, and street photos may be years old. We do not guarantee it.

Your use of Street View imagery is also subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. Links to outside sites, such as Zillow listing pages, are provided for convenience. We are not responsible for those sites.

9. AI features

Some features use artificial intelligence to review comps or draft repair and construction budgets from your photos, plans and notes. AI output can be wrong or incomplete, and a plan-based draft is a starting point, not a bid-ready take-off. Review every AI output before relying on it. Do not upload information you do not have the right to share, or sensitive personal information about other people.

10. Your content

You keep ownership of what you put into the Service, including deal details, notes, photos and plan sheets ("Your Content"). You give us a limited license to host, process and display Your Content only to operate and improve the Service for you, including sending it to the service providers in Section 8 as needed to deliver the features you use. You confirm you have the rights to the content you upload.

11. Acceptable use

You agree not to:

• copy, scrape, frame, mirror or resell the Service or its data, or use bots or automated tools to access it
• reverse engineer, decompile or try to extract the Service's source code, valuation methods or AI instructions
• get around plan limits, trials or seat limits, including by opening multiple trials
• share your account outside the team seats your plan includes
• use the Service to break any law, including fair housing, privacy and consumer protection laws, or to harass or discriminate against anyone
• interfere with the Service's security or operation

12. Our intellectual property

The Service, including its software, valuation methods, designs, text, graphics and the CompDesk name and logo, belongs to KR Gray Designs LLC and is protected by copyright, trademark and other laws. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.

Our Privacy Policy explains what personal information we collect and how we use it.

14. Disclaimers

THE SERVICE AND ALL DATA, ESTIMATES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ESTIMATE WILL MATCH A PROPERTY'S ACTUAL VALUE, COST OR RESULT.

15. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, COMPDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, INVESTMENT LOSSES OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend and indemnify KR Gray Designs LLC against claims, losses and costs (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your property transactions or your breach of these Terms.

17. Suspension and termination

We may suspend or close an account that breaks these Terms, creates risk for the Service or others, or has an unpaid balance. You may stop using the Service at any time. Sections that by their nature should survive termination, including Sections 3, 10 through 12 and 14 through 19, will survive.

18. Changes to the Service and these Terms

We may change or discontinue features. We may update these Terms, and if a change is material we will notify you by email or in the Service at least 14 days before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Before filing a claim, each side agrees to try to resolve the dispute informally for 30 days after written notice. Any claim that is not resolved will be brought only in the state or federal courts located in Fulton County, Georgia, and both sides consent to those courts.

20. General terms and contact

These Terms are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, sale or reorganization.
